JOB PURPOSETo lead the review of legal documentation used by the Company with its clients and support the Commercialisation team in drafting legal agreements This role assists in delivering Ploughshare’s strategy through annual individual objectives.
JOB CONTEXTThis role will work with members of the Commercialisation and Operations teams as well as external stakeholders.
KEY ACCOUNTABILITIES & PERFORMANCE MEASURESUnder direction from senior colleagues:  To review and revise existing documentation and draft new agreements including but not limited to non-disclosure agreements, IP option agreements, IP licence agreements, consultancy agreements, etc. To handle confidential client or case information. To consult with stakeholders to understand the complexities and nuances that need to be captured in the Company’s legal agreements and communicate this to the Commercialisation team. To monitor changes to government guidelines and regulations and update the Company legal documentation with pertinent changes.To ensure the Company adheres to all wider governance and legal regulations and requirements as defined by regulation and our shareholders. To provide general legal advice and guidance to the Commercialisation Team and, where appropriate, other parts of the Company.  
COMPETENCIESKnowledge, skills and experience
Qualified paralegal with extensive knowledge and experience in intellectual property and licensing.
Likely to be from a commercial background, most probably in technology transfer.
Able to build positive relationships with internal stakeholders and Ploughshare’s external partners.
Commercially agile with strong interpersonal skills.
Time and project management skills.
The ability to use their judgement to make decisions.
Good interpersonal skills: interaction with a diverse set of individuals including experts in specific areas of science, patent attorneys and contacts in commercial companies.
Being able to link all these require high level verbal and written skills.

Complexity and creativity
Problem solving is likely to be commercially sensitive, strategic and political; knowledge of HM Government workings as well as political aspirations of the UK’s party system is necessary.  

Judgements, decisions and advice
Uses own initiative to make judgements which will be based on experience and best interests of the company.
Supports the Commercialisation team as well as, from time to time, the Executive team.
Impact of judgements, decisions and advice is high with risk of impacting reputation, legal and financial outcomes.  

Contacts and communications   
Internal: 50%   External: 50%Internal communications will be at all levels but largely at senior level.
Will work collaboratively with the Commercialisation team.
Postholder will have proven interpersonal skills and be good at building relationships quickly and effectively.
External contacts are most likely to be at a senior level with MOD, Dstl and other UK Government Departments.
The postholder will be involved in influencing and some negotiating but will draw on more experienced seniors.
